1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“User”, “you”, or “your”), and DHAN KIRTI INVESTOR SERVICES PRIVATE LIMITED (“Company”, “we”, “us”, or “our”).

These Terms govern your access to and use of:

• Our website, digital platforms, mobile applications, and portals

• Any investor interface, CRM, onboarding system, or transaction support module

• Any communication channels operated by the Company

(collectively referred to as the “Platform”).

By accessing or using the Platform, you confirm that:

• You have read and understood these Terms

• You agree to be legally bound by them

• You are legally competent to enter into binding contracts

If you do not agree, you must immediately discontinue use of the Platform.

We reserve the right to amend these Terms at any time. Continued use after updates constitutes acceptance of the revised Terms.

2. Nature of Business and Services

The Company operates as a facilitator providing services relating to:

• Unlisted equity shares

• Pre-IPO investment opportunities

• Secondary market transactions in private securities

• Investor introductions and transaction coordination

• Documentation assistance and settlement facilitation

• Corporate information sharing and investor support services

Important Regulatory Position

The Company:

• Is not a stock exchange

• Is not a registered broker unless explicitly stated

• Does not provide investment advisory services unless separately contracted

• Does not guarantee listing, valuation, liquidity, or returns

Transactions in unlisted securities involve high financial risk, including potential total loss of capital.

Users acknowledge that:

• All investments are made at their own discretion

• The Company does not provide assurance of profitability

• Market liquidity in unlisted shares may be extremely limited

3. Eligibility

By using the Platform, you represent that:

• You are at least 18 years old

• You are legally capable of entering financial contracts

• You are not barred under any Indian law from investing in securities

• You are investing using legitimate funds compliant with applicable laws

The Company reserves the right to refuse service to any person at its sole discretion.

4. User Representations

You represent and warrant that:

• All KYC, financial, and identity information provided is true and complete

• Funds used for transactions are lawful and not derived from prohibited activities

• You will comply with:

  • Companies Act, 2013
  • Contract Act, 1872
  • Income-tax laws
  • FEMA provisions (if applicable)
  • Anti-money laundering requirements

Providing false information may result in:

• Account suspension

• Transaction cancellation

• Reporting to authorities

5. Platform Usage Restrictions

You agree not to:

• Use the Platform for unlawful transactions
• Misrepresent yourself as another investor or intermediary
• Attempt to manipulate share pricing or availability
• Scrape, copy, or extract investor or company data
• Interfere with Platform security or systems
• Circulate misleading investment information

Unauthorized use may result in civil and criminal action.

6. Investment Risk Disclosure

By transacting in unlisted or pre-IPO shares, you acknowledge:

1. These securities are illiquid and may not have a ready buyer
2. Valuations may fluctuate significantly
3. Listing timelines are uncertain and not guaranteed
4. Lock-in restrictions may apply
5. Transfer processes may be lengthy
6. Regulatory or company restrictions may prevent resale

The Company shall not be liable for:

• Price changes
• Listing delays
• Corporate actions affecting value
• Investor inability to exit

7. Role of the Company in Transactions

The Company acts only as:

• A transaction facilitator
• A documentation coordinator
• An investor interface

The Company does not become a party to share sale agreements unless expressly stated. 

All transactions are directly between buyer and seller.

8. Fees and Charges

The Company may charge:

• Facilitation fees
• Transaction coordination fees
• Documentation charges
• Due diligence or service fees

All fees:

• Will be disclosed before transaction execution
• May be non-refundable once services begin
• Are exclusive of applicable taxes unless specified

9. Intellectual Property Rights

All Platform content including:

• technology
• investor dashboards
• documents
• databases
• brand assets
• research summaries

are proprietary to the Company and protected under Indian intellectual property laws.

Users may not copy, distribute, or commercially exploit any material without written permission.

10. Confidentiality

Users agree that:

• company information, deal structures, investor data, and transaction details are confidential
• and shall not be disclosed to third parties without consent.

Breach may result in legal proceedings and damages.

11. Disclaimer of Warranties

The Platform and services are provided “AS IS”.

The Company makes no warranties regarding:

• Investment outcomes
• Accuracy of issuer information
• Financial projections
• Future listing prospects
• Exit opportunities

Users must conduct their own due diligence.

12. Limitation of Liability

To the fullest extent permitted by Indian law, the Company shall not be liable for:

• Investment losses
• Market fluctuations
• Corporate actions of issuers
• Delayed transfers or settlement
• Data interruptions or system downtime

The Company’s liability, if any, shall not exceed the service fee received for the relevant transaction.

13. Indemnification

You agree to indemnify and hold the Company harmless from any claims arising out of:

• Your misuse of the Platform
• Your breach of these Terms
• Your violation of laws
• Any dispute between buyer and seller

14. Termination

We may suspend or terminate your access:

• For breach of Terms
• For regulatory reasons
• For suspected unlawful activity
• At our sole discretion

Termination does not affect obligations already incurred.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. 

All disputes shall be subject to the exclusive jurisdiction of courts located in the city where the Company’s registered office is situated.

16. Electronic Communication Consent

You consent to:

• Electronic contracts
• Digital signatures
• Email notices
• Electronic document execution

These shall have full legal validity under Indian law.
